Raodstar Investment Manager Limited (“RIML”) – INVESTMENT MANAGER

Roadstar Investment Managers Limited is the Investment Manager of the Trust. The Investment Manager has extensive experience in operating a road project under a concession, for a period of over 17 years on annuity basis. It has the requisite infrastructure for acting as the Investment Manager for managing the assets and investments of the Trust. The management of the Investment Manager has been suitably broad-based and systems/procedures formulated to enable it to duly carrying out its activities as required under the InvIT Regulations.

In accordance with the terms outlined in the Investment Management Agreement, the Investment Manager holds authority to:

1. Make all decisions concerning the management and administration of the Trust's assets and investments.
2. Supervise the Project Manager's activities in compliance with the InvIT Regulations and relevant laws.
3. Issue and allocate units, accept subscriptions to Trust units, transfer units to Unitholders or other parties, and manage all associated tasks.
4. Utilize specialized teams involved in asset management, mergers and acquisitions, capital procurement, compliance, engineering, and financial and accounting matters.
